Data room

The secure repository of documents shared with investors during diligence.

Why it matters

Beyond storing files, it tells you who opened what and when, which is a genuine buying signal. An investor who spent an hour in your financials is in a different state to one who never opened the folder.

A worked example

Sections typically cover incorporation and governance, financials, metrics, customers and contracts, IP, team, and pitch materials.

What is typical

Build it before anyone asks. Assembling one after the first request costs you two weeks at exactly the moment interest peaks.
